Jackpotjoy plc is an online gaming holding company and the parent company of The Intertain Group Limited (“Intertain”).

Through its operating subsidiaries, Jackpotjoy plc is the world’s largest online bingo-led company, providing wagering-focused entertainment to a global consumer base and offering bingo and casino games to its customers through Costa Bingo, Vera&John, Vera&Juan, Jackpotjoy, Starspins, Botemania, InterCasino and other brands.

Jackpotjoy plc became the parent company of Intertain in January 2017 following a reorganization transaction involving a share-for-share exchange of former Intertain shares for shares of Jackpotjoy plc (the “JPJ Shares”) or exchangeable shares issued by Intertain (the “Exchangeable Shares”).

The JPJ Shares are listed on the standard listing segment of the Main Market of the London Stock Exchange, while the Exchangeable Shares are listed on the Toronto Stock Exchange.

Building the Business – History of Intertain

Intertain’s rise to being the world’s largest online bingo-led company began in February following its listing on the Toronto Stock Exchange and its concurrent acquisition of the InterCasino brands. With this acquisition, Intertain became the owner of one of the best-established and most widely recognized online casino brands in the market.

Intertain completed two additional transactions in 2014, acquiring Mandalay Media Group in July and Vera&John in December:

  • Mandalay was the owner of some of the United Kingdom's leading online bingo websites, including Costa Bingo, Sing Bingo, City Bingo, Fancy Bingo and Rio Bingo, and also owned the Casino Choice and Ignite affiliate sites
  • Vera&John was a fully integrated global online casino that continues to operate under three core brands: Vera&John, Vera&Juan and Vera&John Social.

In April, Intertain acquired the Jackpotjoy, Starspins, and Botemania brands from Gamesys Limited, one of the leading online bingo-led businesses, and Jackpotjoy is the leading online bingo site in the UK.

During 2016,  Intertain  explored the strategic alternatives available to it and determined to proceed with a comprehensive set of UK-centred strategic initiatives, including the reorganization with Jackpotjoy plc and a listing on the London Stock Exchange.  The rest, as they say, is history…
